Role Purpose
Reporting to the Deputy Company Secretary, this is an exciting opportunity for someone who is passionate about a career in Company Secretarial and is looking for a career step that offers access to a high calibre team that will provide you with the support for an excellent career path.
Key Accountabilities:
- Assisting the Deputy Company Secretary in the provision of company secretarial services, corporate governance and regulatory support including but not limited to:
- Research, monitor and communicate relevant governance updates and development to ensure that key decision makers have a clear understanding of changes, the impact on Greencore and can take mitigating action in a timely manner
- Preparation and co-ordination of annual statutory filings, including annual returns/confirmation statements/ financial statements of subsidiaries as well as the preparation of documentation in relation to change of name, change in directors, change in articles, transfer/allotment of shares, amendment to share capital etc
- Supporting the management of UK, Jersey and Irish subsidiaries entities (experience with other jurisdictions such as Netherlands and Luxembourg preferable) including dealing with auditor queries, assisting the finance and tax functions and annual compliance for all entities, preparation of agendas and papers and meeting co-ordinaton for subsidiary board meetings, committees and annual general meetings (‘AGMs’), take minutes and follow up on action points
- Draft resolutions, and lodge required forms and annual returns with Companies House/ CRO
- Maintenance of statutory registers for subsidiaries and maintenance of the database;
- Assisting with ad hoc governance queries and corporate secretarial projects e.g. Group reorganisation, share plans
- Liaise with external regulators and advisers
- Assisting with the preparation/publishing of plc board/committee papers
- Maintenance of the Group Structure Chart
- Co-ordination of the Group’s Annual General Meeting and preparation of the Governance section of the Annual Report

What we’re looking for - Ideally ICSA qualified or part-qualified with at least 4 years’ experience working in an in-house plc company secretarial department
- Comfortable working in a fast-paced environment
- Experience in supporting subsidiary boards including board processes, minute writing and agenda management
- Excellent interpersonal skills
- Excellent communication skills, both written and verbal
- Strong organisational skills - with the ability to deal with a variety of tasks and managing a varied workload and to plan and co-ordinate work programmes/schedules and work to deadlines
- Excellent team player and accuracy and attention to detail
- Ability to work independently and on own initiative
- Ability to maintain discretion and confidentiality at all times
- Experience dealing directly with external advisors
- Experience in Blueprint software and the Microsoft Office suite of products (Word, Excel, Outlook, Powerpoint etc.) and ideally with Diligent or similar tool
