Nominee Director - Roles & Responsibilities
Responsibilities of the Nominee Director:
- Facilitating bank visits for account opening and other external tasks.
- Providing Singpass scans and OTPs as needed.
- Executing SignRequests and physically signing documents as required.
Exceptions and Limited Involvement:
- The Nominee Director will not be involved in the management, finance, and day-to-day operations of the Client, except for meeting statutory requirements.
- There is no obligation for the Nominee Director to execute documents related to management and operations that are not screened by Seone.
Signing Authority:
- The Nominee Director will act as a signatory in specific situations, including incorporation (if applicable), board resolutions (provided at least one other director has signed), Ministry of Manpower applications, share certificates, and Immigration & Checkpoint Authority (ICA) applications.
- Other situations requiring the Nominee Director's signature, such as ACRA forms and IRAS letters, will be evaluated on a case-by-case basis by Seone.
Requirements for the Ideal Candidate:
- Trustworthy, dependable, positive, and pleasant demeanor with strong integrity.
- Open-mindedness and flexibility in work arrangements.
- Solid work experience in any field with a proven track record.
- Proficient in spoken and written English.
- Bachelor's level education, along with credible certifications and accreditations.
- Fundamental understanding of legal regulations, basic technical skills for email and digital signing, and the ability to generate OTPs.
Exclusions:
- Candidates should not be connected to or born in countries listed under US sanctions.
- They should not be bankrupt or have convictions for fraud, dishonesty, or ACRA filing offenses.
- Candidates should not have been involved with three or more companies struck off by ACRA within five years or disqualified for reasons related to national security, insolvency, or failure to make returns.
Due to regulatory requirements, only Singapore citizens or Permanent Residents are eligible to apply for this role.
Corporate Secretary Assistant - Roles & Responsibilities
- Maintaining and updating the statutory records of the company.
- Assisting corporate secretary manager as needed.
- Establishing and managing the register of Registerable Controllers, Nominee Shareholders, and Nominee Directors, including issuing necessary notices.
- Updating the minutes book of the company.
- Drafting minutes for Annual General Meetings and declarations for directors' Annual Returns, as well as filing Annual Returns.
- Providing reminders for important compliance milestones under the Companies Act.
- Drafting Directors' Resolutions and minutes for other Members' Meetings.
- Offering general advice on compliance with the Companies Act and related legislation.
- Conducting customer due diligence using Sentro Web.
- Preparing resolutions and documents for the incorporation of new companies.
