The role of Assistant Company Secretary:
This role will see you reporting to and working closely with the Head of Secretariat, who reports to the Group General Counsel and Company Secretary, providing support on company secretarial/governance matters for the UK listed parent company and its subsidiaries.
You will be part of a small team, so flexibility and agility will be important to ensure that business needs are met. This role will be hybrid with 2 to 3 days working from the office.
Key tasks of Assistant Company Secretary:
- Maintaining statutory and/or other records for all group entities, ensuring the timely submission of statutory filings for UK entities and the accuracy of information on Diligent Entities.
- Keeping abreast of changing company and corporate law and other regulatory requirements and corporate governance practice generally and contributing to ensuring that Babcock is compliant and responding to best practice.
- To carry out company secretarial duties for a joint venture company including distributing agendas, attending meetings, and taking minutes, along with supporting on Corporate Projects.
- Maintaining the Group's Restricted Dealing List and any Insider Lists using InsiderHub.
- Assisting in the drafting and release of routine RNS announcements and FCA filings for directors' interests in shares.
- Assisting with aspects of the Group Annual Report and the Annual General Meeting.
- Ensuring the Company Secretariat has documented and streamlined checklists and processes to manage key activities, identifying opportunities to streamline and enhance them, and keeping them under review.
Essential experience of the Assistant Company Secretary:
- Educated to degree level or equivalent working experience.
- Associate of the Chartered Governance Institute or studying towards it.
- Highly organised, process driven and detail-orientated especially in written work
- Strong communication skills and ability to interact confidently with people at all levels
- Self-motivated, as well as a strong team player with a keen sense of ownership and desire for continuous improvement.
- An ability to establish credibility with and inspire confidence in all stakeholders, and to exercise judgement in dealing with sensitive and confidential issues.
The successful candidate must be able to achieve security clearance for this role.
