• Provide administrative and secretarial support to Director;
• Responsible to maintain and manage appointment and meeting schedules, arrange and coordinate internal/external appointments, meetings and company events
• Conduct market research and organizational activities
• Manage digital platforms and social media accounts
• Assist in HR related matters
Corporate secretarial
• Support, handle and manage full spectrum of corporate secretarial work for a portfolio of diversified clients
• Manage secretary records of existing clients
• Maintain and update statutory registers and records
• Ensure statutory and compliance requirements clients/companies are met in a timely manner
• Conduct due diligence checks before client onboarding, assist in the Know-Your-Client onboarding of new clients
• Conduct routine monitoring of regulatory compliance and ensure compliance with statutory and regulatory requirements
• Keep up-to-date on statutory and regulatory requirements
• Assist in the incorporation of new entities and advise clients on the incorporation compliance and requirements
• Organize board and shareholders’ meeting and preparation of board papers
• Responsible to draft and prepare directors’ resolutions (in writing) and shareholders’ resolutions, Annual General Meeting (AGM) documents and minutes of meetings and coordinate circulation of minutes of meetings
• Prepare relevant forms, assist in preparation of XBRL and submit statutory returns, e-filing and lodging of documents with ACRA and other government/statutory bodies. (eg. IRAS, MOM) as required
• Prepare and file/submit annual return (AR) with ACRA
• Assist in corporate secretarial matters, including resignation and appointment of director, secretary, registration of branches and other entities, striking off companies, shares transfer, e-stamping of transfer forms, increase in the share capital
• Provide advice on compliance requirements
• Liaise with external parties, including clients, government/statutory bodies, auditor for statutory audit
• Follow up client outstanding secretarial documents and outstanding payment
• Perform any other ad-hoc tasks, projects, admin duties and support as and when assigned
