About the role

The Head of Legal Asia, part of the Global Legal Team, will oversee the delivery of legal support across the Asia portfolio, supporting PIDG’s InfraCo product offering in Asia. Reporting to the Global General Counsel, the Head of Legal Asia will take responsibility for ensuring that InfraCo adheres to all legal requirements on its projects and investments and monitoring all applicable legal aspects of its projects and investments.

Roles & Resposibilities

Projects and Investment

• Manage and oversee advice and actions in relation to the development, structuring, financing and operating of investments and projects, including in relation to dropping, wind-down, expansion and/or exits.
• Manage and oversee drafting of project development, investment, financing and divestment related documents. Manage and oversee legal negotiations on the same and provide support for project teams in drafting and finalisation of commercial contracts.
• Manage, monitor and provide active oversight of legal and risk aspects, spotting issues and providing mitigations project development, investment, financing and divestment activities.
• Manage litigation risks in respect of projects and investments. Oversee day to day management of legal disputes and liaise with Global General Counsel on potential strategies.
• Review and interpret legal and regulatory requirements and provision of pertinent, clear and concise advice and opinions to support project teams.
• Provide ad hoc advice in respect of project development, investment, financing and divestment activities.
• Work closely and coordinate with the Business Integrity Team to ensure seamless delivery on projects and investments.

Corporate aspects, risk management & functional support

• Support the Global General Counsel on various matters.
• Manage and oversee external counsel and advisors in the delivery of work product, including managing counsel spend and budget.
• Build, manage and maintain strong working relationships with other key stakeholders within PIDG.
• Define and carry out goals and agenda for the Asia Legal Team and development of the function in agreement with the Global General Counsel.
• Manage and motivate the Asia Legal Team to achieve efficient and effective service levels to internal and external stakeholders, including effective team building, management and succession planning as a functional leader.

Qualifications and education requirements

• J.D. or equivalent law degree.
• Relevant professional qualifications.

Skills and Experience

• 10+ years of hands-on relevant legal experience.
• Strong experience in Asia, particularly in emerging markets, including development finance, project finance and M&A.
• Expertise in infrastructure or related sectors.

You would ideally have experience handling a wide range of legal matters and are comfortable providing senior management complex, multi-jurisdictional legal guidance. What you will be doing:

Strategy and Advisory

• Overall responsibility for legal matters and managing audax’s legal requirements.
• Work in alliance with audax management team and SC Ventures Legal to ensure compliance by audax and its directors with (i) relevant regulatory requirements, (ii) privacy laws, (iii) outsourcing requirements and (iv) any other policies, standards, and guidelines applicable to audax.
• Provide general corporate, and commercial legal directions across the business, supporting its needs in Singapore and elsewhere as it expands into new territories.
• Drafting and negotiating a range of commercial agreements, including but not limited to software development, SaaS, data transfer, strategic partnerships, product-specific terms, and terms of use for audax’s platform.

• Establish and maintain strong governance of services and products.

Corporate Secretarial & Board Support

• Coordinate and follow through the execution of all board resolution and minutes, including any underlying documents approved to be signed.
• Assisting the SC Ventures Company Secretary in the on-boarding and induction of INEDs and NEDs in relation to audax directors.
• Work with and lead the company secretarial function to file reports or events with the registrar of Companies.

• Keeping the General Counsel fully informed of significant legal or compliance issues arising from ongoing work.
• Drafting, negotiating, and reviewing corporate, sponsorship, software-related, and other commercial agreements, including hotel management and operational contracts.
• Drafting, reviewing, and negotiating Hotel Management Agreements (HMAs), property leases, and associated documentation.
• Supporting the legal team in managing agreements related to the acquisition or divestment of hotels, including purchase and sale agreements.
• Preparing, renewing, and assigning MLR Agreements, leases, HMAs, and franchise agreements as required.
• Providing expert advice on General Data Protection Regulation (GDPR) compliance and privacy legislation.

• Serve as the administrative and legal assistant to AMLC-APG senior leaders, as well as all AMLC-APG attorneys and paraprofessionals.
• Independently perform administrative matters, to include receiving and screening incoming information through electronic mail, phone calls, or written correspondence.
• Draft, prepare, review, and track legal correspondence, memorandums, briefings and presentations, and executive notes.
• Assist and advise attorney action officers on all procedural and administrative aspects of staff actions.
• Serve in a variety of administrative roles supporting the Legal Center attorneys including, but not limited to the following:
• Automated Time and Attendance Production System (ATAAPS) Timekeeper: performing end-of-pay period checks to ensure automated timecards are completed accurately.
• Alternate Security Officer: ensuring all employees are issued security access badges during onboarding and all badges are turned in during out-processing.
• Government Purchase Cardholder: purchasing goods or services in accordance with established Department policy, procurement regulations, and individual internal office procedures.
• Perform legal research including researching legal reference files for specific information such as pertinent Federal and State statutes, cases, briefs, opinions and other points of legal significance.
• Key Control Custodian: maintains all forms and records required for key control, ensures that adequate control of all keys is accomplished within the custodial area as directed by the Key Control Officer and the SOP.

Job Responsibilities

• Supervise the implementation of the company's member compliance policies, improve the compliance framework, address queries from regional compliance representatives, assist them in handling complex cases, and provide regular compliance training for representatives and members in various regions.
• Provide support and advice on all legal and compliance issues across the Group, covering areas including intellectual property, dispute resolution, and commercial activities.
• Prepare and update template agreements, including non-disclosure, event, quality, lease agreements, etc.
• Oversee the filing and organization of legal contracts and documentation.
• Manage the company’s intellectual property portfolio and handle intellectual property prosecution matters together with external intellectual property counsels.
• Support the Group’s M&A activities and integrations as required.
• Manage and coordinate with external counsel as needed.
• Perform related duties as assigned from time to time.

Requirements

• Degree in Business Law or equivalent
• Proficiency in Microsoft Office applications
• Strong Written and Verbal skills in English and Mandarin (Required to liaise with mandarin-speaking counterparts)
• Strong verbal, presentation, and written communication skills.
