About Corewell Health South – Lakeland Hospitals 

The health system comprises three hospitals, an outpatient surgery center, a regional cancer center, rehabilitation centers, two long-term care residences, home care and hospice services, and 34 affiliate physician practice locations. POSITION SUMMARY

This position provides support to the company’s Corporate Secretary and various business partners and functions. Responsibilities include maintenance of corporate records, including affiliates and joint ventures. Functions as paraprofessional utilizing special legal knowledge and skills.

CORE FUNCTIONS

1. Corporate recordkeeping and compliance, including creation and maintenance of corporate records such as governance documents, meeting notices, resolutions, consents and meeting minutes for the Company and affiliates. Maintain a system for safekeeping and indexing corporate documents.  Assistance with Corporate Secretary services. Assist with, and may attend some, Board meetings.

2. Maintain good standing and facilitate compliance with various corporate laws, rules and regulations in states which affect the Company and trade names of the Company. Prepare and maintain documentation and filings for statutory corporate governance and compliance of the Company and subsidiaries, while understanding the legal complexities of operating in different state jurisdictions.

3. Oversee special projects requiring varied legal knowledge and expertise. Coordinate aspects of due diligence projects for sales/acquisitions/mergers/bond issuances. Coordinate and may attend transactional closings.

4. Maintain an active Notary Public commission.

5. Performs record keeping, data collection, and system information. Compiles and analyzes data and furnishes information in report format, written correspondence, email, or verbally.

6. Responsibilities extend system-wide, including affiliated organizations. Extensive corporate governance duties assuring compliance with state and federal laws in applicable jurisdictions. Effectively interact with all levels of management, health care providers and outside counsel, board members, community leaders and vendors. 

MINIMUM QUALIFICATIONS

Must possess a strong knowledge and understanding of corporate governance as normally demonstrated through the completion of a bachelor’s degree and five or more years of experience as a paralegal/legal assistant handling corporate governance or working with a board of directors.

Must demonstrate legal assistant knowledge and background as normally obtained through the completion of a legal assistant certification from an American Board Associate (ABA) accredited school or Certified Legal Assistant/Certified Paralegal (CLA/CP) certification from the National Association of Legal Assistants.

Must be highly organized, detail oriented and able to prioritize and manage multiple projects. Excellent troubleshooting, problem resolution and follow-through skills. Dependable team player who works collaboratively and cooperatively with others in a team-oriented environment. Ability to act independently and make routine decisions within the scope of the position’s responsibilities. Must possess excellent analytical, research, verbal and written communication skills.

Must possess a strong knowledge of reading, writing and proofreading skills in order to interpret source data, internal policies and procedures, complex state and federal rules and regulations and prepare corporate transactional documents and forms.

PREFERRED QUALIFICATIONS

Five years’ experience as a corporate secretary or assistant corporate secretary preferred.

General Summary: 

Supervise and coordinate the daily activities of Environmental Services which may include general cleaning, floor maintenance and laundry functions. Responsible for the coordination and monitoring of patient transport activities with shift responsibility and accountability for the Patient Transportation Department. Coordinates staff activities including completing shift assignments and interacts regularly with nursing units and ancillary departments. Assists the Manager with responsibility for maintaining and working within department budget, following policies and procedures, providing training programs to direct care staff. Supervisor assists with quality improvement programs/projects to ensure safe and timely transportation of patients throughout the hospital. Education / Training:

Job Requirements
