The job

The successful candidate for this role will be working in a small growing team and the position will assist the Company Secretary with the entire company secretarial functions across various subsidiaries and jurisdictions. The role will involve close contact with Directors, senior management, in particular Tax, Legal, Group financial Reporting within the organization.

This is a broad ranging and hands-on role which involves working in a busy team environment.

The responsibilities will involve:

o Delivery of company secretarial duties for the company's various subsidiaries.

o Preparation of broad and committee packs.

o Producing clear and concise minutes of meetings.

o Assist to ensure that the Companies Act and relevant regulatory requirements are adhered to and complied.

o Assisting in keeping statutory records of the Company's subsidiaries up-to-date.

The candidate

Aspiring candidate who are interested in this Senior Executive (Assistant Manager)level role will have a considerable PLC experience with recent experience of managing large share schemes, reports and accounts in a PLC environment listing and organizing large scale AGMs.

Candidate must be a qualified Chartered Secretary/ICSA associate level with minimum 3 years of post qualified experience in handling corporate secretarial duties.

Possess strong knowledge of basic company secretarial compliance matters, maintenance of company registers and share certificates,issuing and transfer of shares and listing requirements.

Experience of convening and attending Board meetings plus preparation of minutes.

Experience of drafting board and shareholder resolutions.

Excellent written and spoken English is necessary and essential.

This position is with the Office of Strategic Policy, Policy Division. The following are the duties of this position at the GS-14. If you are selected at a lower grade level, you will have the opportunity to learn to perform all these duties, and will receive training to help you grow in this position.

• Conducts research and strategic analysis to develop policies and draft complex products, such as advisories to financial institutions, to disseminate key information regarding threats and risks that FinCEN has determined to be especially significant; Leads staff-level discussions on emerging trends, topics, and innovation as it relates to Anti-Money Laundering/Countering the Finance of Terrorism (AML/CFT) issues. Manages the development and recommendations of policy responses to safeguard the U.S. financial system from illicit use, combat money laundering, and promote national security.
• Assists the Director of the Office of Strategic Policy in maintaining awareness of significant emerging trends, issues, policy developments, and innovative advances related to AML/CFT risks and vulnerabilities. Drafts position papers on complex AML/CFT and Bank Secrecy Act (BSA) framework issues for review and consideration by senior FinCEN and Treasury leadership. Provides expert senior-level advice and assistance regarding ongoing strategic policy programs, initiatives, strategies, or projects, to include work related to the issuance of advisories to financial institutions, high-level policy development related to the Financial Action Task Force (FATF), and AML/CFT environments and threats; manages related assignments.
• Participates as a speaker or panelist at relevant conferences, and supports Congressional engagements and other domestic and international engagements upon request. Represents FinCEN and the Treasury Department in meetings with other U.S. and foreign government agencies and private sector representatives to convey information related to advisories and strategic policy issues involving AML/CFT.
• Maximizes communication and collaboration with all other components of FinCEN and ensures each component's unique expertise and authorities are brought to bear in a collaborative effort for maximum impact against the most serious money laundering and national security threats. Coordinates with law enforcement, industry representatives, Treasury counterparts, and other U.S. government entities to identify risks and vulnerabilities, develop insights on key AML/CFT risks and issues, and develop typologies, red flags, and other information for possible inclusion into advisories or other products designed to disseminate information to financial institutions.

• Provides advice to senior leadership regarding rules of engagement with the media: determining the appropriate set of guidelines for conducting specific briefings and circumstances under which press coverage should be allowed.
• Coordinates preparations for press briefings, press conferences, and press interviews, including logistical arrangements and distribution of written materials to the media.
• Issues press releases, prepares the daily press guidance package, edits transcripts, creates and posts highly curated and concise press guidance/top lines for use by senior Department officials in talking points and explains issues to target groups.
• Monitors ongoing foreign affairs issues and policy developments as they relate to the Department 's public affairs initiative, and advises the Spokesperson, principal Deputies, and the Director accordingly.

As a Deputy Assistant Director for Enforcement, you will:

• Assist the Assistant Director of Enforcement (ADE) in overall management and supervision of the Enforcement division.
• Assist with the direction of staff responsible for conducting enforcement investigations.
• Serve as expert technical authority on sanctions violations and enforcement matters and provide inputs and clearance on agency documents.
• Engage with the public, private sector representatives, and government officials.
• Develop divisional and agency-wide policies, procedures, and strategies.

Major duties include but are not limited to:

- Act as the Director's principal advisor regarding policy and program matters pertaining to enforcement activities undertaken according to Title I of ERISA In so doing, provides leadership and direction in the formulation, development, and execution of the functional responsibilities of the Office of Enforcement; the establishment of Agency objectives; in the evaluation of achievements and corrections of inadequacies in the Agency's enforcement program; in the review and recommendation of plans and programs designed to ensure the enforcement of ERISA mandates; and in the establishment and maintenance of inter- and intra-agency liaison.

- Lead efforts in the development of national policies and strategies to achieve ERISA's goal of protecting the interest of employee benefit plan participants and their beneficiaries; collaborates with the National Office Directors and Regional Directors in the development of major EBSA policies and goals by reference to, among other things, guidance from various components within the National Office as well as field resources, capabilities, and the scrutiny and examination of operating potentials.

- Provide executive level management and review of four major OE program components (i.e. Division of Financial Investigations; Division of Health Investigations, Division of Criminal Investigations, and Division of Field Operations and Support); works closely with all four Office of Enforcement division chiefs and other subordinate managers and technical experts to ensure effective implementation of EBSA enforcement policies, maximum efficiency and productivity; implementation of effective working procedures; and coordination and collaboration with Regional Offices, National office components, and other DOL/Federal agencies, and various professional organizations.

- Represent EBSA in meetings with employee benefit plan administrators, fiduciaries, attorneys, representatives of plan sponsors, the media, and other interest parties; convey the Department's findings and conclusions with regard to enforcement activities and enter into agreements where violations of ERISA are voluntarily corrected; meets with other agencies, industry groups, and other special interest groups to present EBSA's enforcement policies and priorities and enhances the understanding of other government agencies and the public of ERISA and their responsibilities under the law.

- Responsible for the technical and administrative supervision of a large and complex staff in professional, technical, clerical, and administrative work to carry out the mission of the organization. This also requires managing work through subordinate supervisor(s) or lead(s). Directly supervises professional, technical, clerical, and/or administrative work. Also determines whether the contractor performed work meets standards of adequacy.

- Plan work to be accomplished by subordinates; makes assignments based on capability and expertise; evaluates the subordinate supervisors' performance and the performance of those employees reporting directly to him/her; gives advice or instruction to subordinates on work and administrative matters.

- Interview candidates for positions; recommends appointment, promotion, or assignment for positions; makes or approves selections for subordinate non-supervisory positions; hears or resolves group grievances or serious complaints from employees; and effects disciplinary measures. As an Investigative Analyst (Polygraph Examiner Quality Reviewer), your typical work assignments may include:

• Developing and conducting polygraph examinations of investigative subjects identified in support of agency field offices.

What will I be doing?
