The OpportunityAs our M&A Senior Advisor you will work with the EDF Renewables UK & Ireland M&A Manager to generate and execute acquisition and disposal opportunities across all renewable technologies. The role will participate in all key aspects of transactions, including but not limited to M&A strategy and governance, origination, analysing new investment opportunities and executing M&A opportunities by managing multi-disciplinary subject-matter experts to complete due diligence, prepare/seek investment committee decisions and ultimately complete transaction documents.The role will partner with business development teams and coordinate with both key internal functions and external advisors to successfully deliver transactions. What you’ll be doing day to day…A key challenge to this role is to deliver strategic and financial analyses on potential acquisition and disposal targets.
- Execute M&A processes including data room preparation/management, due diligence, transaction documents, transaction budget management, board & approval papers and management of the governance process.
- This could be as part of a project team or directly leading the day-to-day process of a transaction with support of the M&A manager or Group colleagues.
- Prepare materials to support a transaction for both internal and external stakeholders.
- Engage professionally with our counterparties, such as industry partners, investors and due diligence advisors.
- Business Partner with business development teams to deliver transactions
- Responsible for internal project teams (including analytical, legal, tax, finance and engineering colleagues) from the origination of a new opportunity until transaction close.
- Lead on the negotiation of documents required for the delivery of the transaction including joint venture agreements, share purchase agreements, warranty & indemnity insurances. Deliver pertinent analysis to facilitate EDF Renewables management team’s and wider business’s understanding to aid decision-making.
- Support the commercial teams in their auction applications and bidding strategies.
- Support the M&A manager in bringing together and manage the “bigger picture” consolidated view of the M&A activity across the business and delivery of M&A across the business
- Prepare reports and ad-hoc analysis for management as required.What do you need to be great at this role?
Success in the role will require problem solving, a high degree of organisational ability, presentational skills and delivery of robust & reliable financial information and commercial acumen.
- M&A execution process experience including due diligence, valuation and structuring
- Experience of leading skilled multi-disciplinary project teams
- Strong understanding of finance and valuation techniques
- Experience of producing and presenting accurate financial appraisal and risks analysis
- Excellent delivery and presentation skills, ideally with experience of presenting to senior management
- Strong communication skills, both written and verbal
- Ability to prioritise conflicting activities and be proactive
- Strong attention to detail
