Our client is a prominent Asia-based investment firm with a substantial global presence. With significant assets under management, they focus on various investment strategies including platform-building, buyouts, credit, and growth opportunities across multiple sectors. Their expertise spans a wide range of industries, with a particular emphasis on innovative and high-growth areas.
We are seeking an experienced private credit transactional lawyer to handle a diverse range of transactions for our client's private credit funds
Key Responsibilities
- Provide comprehensive legal support for private credit, capital solutions, portfolio finance, and private placement transactions. This includes negotiating term sheets, advising on legal and commercial issues, structuring transactions, and liaising with external counsel.
- Offer internal legal advice on Private Credit business matters, including fund leverage facilities and investor queries
- Collaborate with various internal teams including Investment, Investor Relations, Operations, and Compliance
- Identify and address corporate, tax, regulatory, and compliance issues, working with external law firms as needed
- Manage relationships with preferred legal advisors and external counsels
- Coordinate with investment and operations teams on transaction execution.
- Keep business teams informed about relevant legal and regulatory developments
Qualifications
- Law degree from a top-tier institution with 8-10 years PQE in private credit, debt, or financing from leading law firms.
- In-house experience in asset management is preferred.
- Strong legal expertise and commercial acumen
- Proficiency in credit documentation, including term sheets, facilities agreements, and note purchase agreements.
- Knowledge of Loan Market Association standard documents.
- Experience with distressed credits and restructurings is advantageous.
- Understanding of structuring and regulatory considerations in key global jurisdictions.
- Ability to build strong relationships across the organization
- Proactive, flexible approach with a commercial mindset
- Excellent organizational and multitasking abilities
- Strong team player with a collaborative attitude
- Exceptional communication skills. Additional language skills are a plus.
- Capable of working under pressure and managing priorities effectively.
- Willingness to expand expertise into new legal areas relevant to the business.
