Our client is an established group of PLC listed on the main board of Bursa Malaysia Securities Berhad. They are currently seeking a ICSA professional to assume the role of Assistant Company Secretary within the corporate secretarial services and its subsidiaries. The role would suit an ICSA qualified individual with previous secretarial experience ideally working within a listed environment. Please note that despite the position title name 'Secretary',the role is absolutely not clearical or private secretarial function in nature.

Job Description

As Assistant Company Secretary within PLC, you will support the Senior Company Secretary in ensuring the delivery of a professional, effective, high quality corporate secretarial service to support the activities of the Board, Shareholders and Executive team.

Key elements of the role.

*Assist in preparing Directors' resolutions,minutes of the Board,Committee and shareholders meeting and announcements to Bursa Malaysia.

*Organize,coordinate and attend Board/Committee meetings and AGM/EGM.

*Ensure timely submission statutory forms,returns and notifications in accordance with the requirements of the Companies Act, Bursa Malaysia Listing requirements.

*Assist the Company Secretary in handling all aspects of corporate secretarial and share registration services.

*Assist in the preparation of annual reports and circulars to shareholders and provide corporate secretarial support for corporate exercises.

Candidate skills & experience

*Malaysian female in age group 30-45.

*ICSA qualified graduate.

*5-8 years of work experience in corporate secretarial role with exposure to public listed environment.

*Well versed with Bursa Malaysia Listing Requirements,Companies Act, corporate governance codes and regulations and applicable companies legislation.

*Knowledge in share registration is an advantage.

*Good strong communication skills with good command of English, both spoken and written.

As a/an Recapitalization Transaction Specialist, you will:

• Advise and make recommendations on affordable housing transactions to supervisors and managers in the Affordable Housing Transaction Division.
• Actively participate in solving some of the Nation's most complex and plaguing problems associated with public and affordable housing.
• Provide technical support to housing authorities, multifamily owners, as well as HUD field staff with the goal of improving, preserving and repairing assisted rental housing, which may include leveraging improvements in education, health, safety and employment.
• Coordinate, interact and participate in meetings with Office of Recapitalization management, HUD, OMB, and other governmental agencies, both Federal and State, housing finance agencies, Public Housing Authorities, private owners, participating administrative entities, and joint ventures to coordinate and maximize the achievement of the Office of Recapitalization's mission.

As a/an Deputy Housing-FHA Comptroller, you will:

• Ensure that (a) accounting and internal control polices exist and are applied on all operations; (b) accounting control over all Housing-FHA activities is maintained (c) all external and internal financial reports are prepared properly, accurately and timely; (d) debt collection and cash management systems are in compliance with all requirements and (e) financial standards are identified and the Office, or Offices, responsible for systems development, maintenance and operation for all Housing programs receive guidance on needed improvements to satisfy all Federal and management requirements.
• Maintain the FHA general ledger, the chart of accounts, and certain subsidiary ledgers.

• You will serve as the Trial Attorney/Senior Trial Attorney on one of the three Contracts Litigation Teams within the Naval Litigation Office (NLO), Office of the General Counsel (OGC), Department of the Navy (DON).
• You will represent the DON principally before the Armed Services Board of Contract Appeals.
• You will also assist the Department of Justice in matters filed against the DON in the Court of Federal Claims or other Federal courts and may be assigned to other matters as the needs of the office require.
• The case may involve hundreds of millions of dollars or have critical impacts on the mission of the Department.

The purpose of this position is to perform a variety of highly complex demanding management and program analyst assignments requiring a mastery of the application of qualitative and quantitative methods for the assessment and improvement of program(s) effectiveness and to ensure high-quality implementation and management of ASPE s legislative, compliance, and executive secretariat activities.

• Exercises direct supervisory authority over the staff of the Directorate's Administrative Office staff, comprised of 12-16 professional, technical and support positions.
• Serves as a member of the Directorate leadership team and is the principal advisor to the Associate Director for developing or reviewing plans and authorizations for business operations and administrative support.
• Oversees the total Washington Cultural Resources Directorate budget including formulating both current and future year needs, allocating funds, and executing the directorate's budget and financial operations.
• Serves as liaison to the National Park Service HR office, and coordinates the human resources management program of the Cultural Resources Directorate.
• Supervises and coordinates information technology policy and planning activities of the Cultural Resources Directorate.

• You administer expert level execution of FLCPS's financial and manpower management, processing of all command civilian personnel actions, and Government Commercial Purchase Card (GCPC) procurement.
• You will serve as the senior financial advisor on budget and financial matters impacting FLCPS operations and as the primary financial interface with Commander, Naval Supply Systems Command (NAVSUP) and other external activities.
• You will provide technical expertise on Navy/DOD accounting, budgetary and disbursing matters.
• You will advise on changes to organizational structures, organizational charts, and mission and function statements to implement reorganizations to reduce or eliminate functional overlap among command programs.
• You will direct allocation of funds and civilian personnel staffing to FLCPS operating departments based on negotiated funding.
• You will coordinate procurement of all command purchasing under the micro-purchase threshold, ensuring compliance with both procurement and financial regulations.
• You will supervise the Resource Management Division, which includes financial management, position management, HRO liaison, and procurement functions.

The duties may include, but are not limited to:

• Plans and administers case processing policies, practices, procedures, systems, and controls for the appellate and original jurisdiction functions of the Board.
• Provides legal guidance to the Clerk, OCB staff, and internal and external stakeholders on all areas of case processing and case management, including: reviewing and recommending the disposition of certain petitions for review and other legal documents; drafting or reviewing orders disposing of legal documents; preparing official records for the Federal courts and other administrative agencies; and responding to inquiries from appellants, agency representatives, and others as to Board regulations, procedures, and practices.
• Provides technical and administrative assistance to all levels of the Board in the functional areas under the Clerk's jurisdiction, including case processing, case management, disclosure, privacy, records, and e-Appeal.
• Oversees an agency-wide information disclosure program, including making determinations under the Freedom of Information Act and the Privacy Act to grant or deny requests for production of documents, amendments of records, and waiver of fees.
• Assists in the development and promulgation of policies and procedures for all Board records and records systems.
• With the Clerk, determines overall priorities for the office, including long- and short-range planning; monitors progress on achieving agency performance goals, including by compiling statistical data on all areas within the Clerk's areas of responsibility; assists with the preparation of budgetary and financial plans; prepares or reviews performance standards and appraisals; and recommends personnel actions, training, and awards.

• Providing clerical and administrative support to office staff, the Administrative Officer, and other personnel within the branch.
• Screening incoming visitors and telephone calls, providing answers to inquiries and referring questions/issues to appropriate persons.
• Submitting and preparing payroll and travel arrangements, including processing travel orders and vouchers.
